The Key Terms are a summary only. The complete agreement is set out below. If there is any inconsistency, the interpretation most favourable to the Customer that is required by applicable consumer law will apply.

These Terms and Conditions govern the BlackBike Care bicycle maintenance subscription supplied to consumers in the United Kingdom by RR Commerce Solutions Ltd, trading as BlackBike. They are intended to be read together with the Key Terms, the order confirmation, the applicable service specification, any quotation for additional work, the Privacy Policy and any mandatory information provided at checkout.
1. About these Terms and the parties
1.1 The supplier is RR Commerce Solutions Ltd, a company incorporated in England and Wales with company number 15880816, whose registered office is at 4th Floor, Silverstream House, 45 Fitzroy Street, London, W1T 6EB. RR Commerce Solutions Ltd trades under the name “BlackBike”.
1.2 In these Terms, “BlackBike”, “we”, “us” and “our” mean RR Commerce Solutions Ltd. “Customer”, “you” and “your” mean the individual consumer who purchases the Subscription.
1.3 The Contract is between BlackBike and the Customer named in the order confirmation. Stripe or any other payment service provider is not the supplier of the Subscription and is not responsible for performing the Maintenance Service.

1.5 These Terms apply only where the Customer is acting wholly or mainly outside their trade, business, craft or profession. Different terms may apply to business customers, fleet operators, couriers, rental businesses and other commercial users.
1.6 Nothing in these Terms excludes, restricts or overrides any right or remedy which the Customer has under applicable consumer law and which cannot lawfully be excluded or restricted.
2. Definitions and interpretation
2.1 In these Terms, the following expressions have the meanings set out below:
(a) “Additional Service” means any second or further collection, maintenance and return package requested during the same Membership Year, or any other service expressly identified by us as additional to the Included Service.
(b) “Annual Membership Fee” means the total price payable for one Membership Year, currently £239.88, inclusive of VAT where applicable.
(c) “Bicycle” means the Registered Bicycle and includes its fixed components but excludes removable accessories, personal belongings and batteries unless we expressly agree otherwise.
(d) “Collection Address” means the eligible UK address confirmed by us for collection of the Bicycle.
(e) “Contract” means the legally binding agreement comprising the order confirmation, the Key Terms, these Terms, the Schedules, any information that applicable law treats as part of the contract and any written variation expressly agreed by both parties.
(f) “Cooling-off Period” means the statutory cancellation period described in clause 9.
(g) “Early Termination Amount” means any fair and proportionate amount payable where we agree to release the Customer from the fixed Initial Term, calculated in accordance with clause 26.
(h) “Included Service” means the one collection, one Standard Maintenance Service and one return delivery included in each Membership Year.
(i) “Initial Term” means the first fixed period of 12 months beginning on the Subscription Start Date.
(j) “Maintenance Service” means the bicycle maintenance, inspection and adjustment service described in Schedule 1, and “Standard Maintenance Service” has the same meaning.
(k) “Membership Year” means each consecutive 12-month period beginning on the Subscription Start Date or a Renewal Date.
(l) “Monthly Instalment” means one of the 12 instalments of the Annual Membership Fee, currently £19.99.
(m) “Registered Bicycle” means the single Bicycle identified in the Customer’s subscription record and approved by us for coverage.
(n) “Renewal Date” means the date immediately following the end of a Membership Year on which a further Membership Year begins.
(o) “Return Address” means the eligible UK address confirmed by us for return of the Bicycle.
(p) “Service Partner” means a mechanic, workshop, courier, logistics provider or other subcontractor appointed by BlackBike to assist in performing the Contract.
(q) “Subscription” means the BlackBike Care annual maintenance membership purchased under the Contract.
(r) “Subscription Start Date” means the date stated in the order confirmation on which the Subscription begins.
2.2 References to “including”, “includes” or similar wording are illustrative and do not limit the preceding words.
2.3 A reference to writing includes email and other durable electronic communication, but does not include informal social-media messages unless we expressly confirm acceptance.
2.4 Headings are for convenience only and do not affect interpretation.
2.5 Where a provision is capable of more than one meaning, it will be interpreted in the way required by applicable consumer law.
3. Eligibility and permitted use
3.1 The Customer must be at least 18 years old, resident in the United Kingdom and legally capable of entering into the Contract.
3.2 The Subscription is for personal and household use only. It may not be used for a bicycle used principally for commercial delivery, paid passenger transport, rental, hire, competition support, professional racing, training-school use or any other business purpose unless we expressly agree in writing.
3.3 The Customer must be the legal owner of the Registered Bicycle or have the owner’s clear authority to arrange maintenance, collection and return.
3.4 The Customer must provide complete and accurate information about the Bicycle, including make, model, approximate age, bicycle type, electric-assist status, known faults, modifications and approximate replacement value.
3.5 The Subscription covers one Registered Bicycle only. It does not cover all bicycles owned by the Customer or household.
3.6 The Customer may request a change of Registered Bicycle. Any change requires our prior written approval and may be refused where the replacement bicycle materially changes the risk, transport requirements or scope of work.
3.7 We may require photographs, frame number, proof of ownership, proof of value or other reasonable information before accepting a Bicycle or confirming a booking.
4. Pre-contract information and ordering process
4.1 Before the Customer is bound, we will make available the main characteristics of the Subscription, our identity and contact details, the Annual Membership Fee and Monthly Instalments, the fixed 12-month term, payment arrangements, the Included Service, material exclusions, cancellation rights, renewal arrangements and any delivery restrictions that apply.
4.2 The Customer is responsible for reading the Key Terms and these Terms before placing the order.
4.3 The checkout page must make clear that placing the order creates an obligation to pay. The Customer must actively confirm acceptance of the Terms and the fixed 12-month financial commitment.
4.4 Any description, statement or representation made publicly by us about the Subscription may form part of the Contract where applicable law so provides. We therefore recommend that the Customer retain the order confirmation and current Terms.
4.5 If any information supplied before the Contract is formed conflicts with these Terms, the more specific written information in the order confirmation will apply, except where this would reduce a mandatory consumer right.
4.6 We may ask the Customer to contact us before subscribing where the Bicycle is electric, adapted, unusually large, unusually valuable, a cargo bicycle, a tandem, a tricycle, a specialist competition bicycle or otherwise outside ordinary courier and workshop requirements.
5. Formation of the Contract
5.1 The Customer’s order is an offer to purchase the Subscription. The Contract is formed only when we issue an order or subscription confirmation, or when we otherwise expressly confirm acceptance.
5.2 We may decline an order before acceptance where the Customer, Bicycle, payment method or requested location does not meet our eligibility or serviceability requirements.
5.3 If we take payment but subsequently decline the order before the Contract is formed, we will refund the amount taken using the original payment method.
5.4 We will provide confirmation of the Contract on a durable medium, normally by email, within a reasonable time after formation and before the Included Service begins.
5.5 The Customer must notify us promptly if the confirmation contains an error.
6. The Subscription, Membership Year and Registered Bicycle
6.1 The Subscription begins on the Subscription Start Date and continues for the Initial Term unless ended earlier in accordance with these Terms or mandatory law.
6.2 Each Membership Year provides one Included Service for one Registered Bicycle.
6.3 The Included Service is an annual entitlement. Monthly Instalments spread payment of the Annual Membership Fee and do not purchase 12 separate monthly maintenance services.
6.4 The Included Service must be requested and booked during the relevant Membership Year. It does not normally carry forward, accumulate or convert to cash if unused.
6.5 If the Included Service cannot be completed during the Membership Year solely because of an act or omission by BlackBike after the Customer made a timely valid booking request, we will extend the entitlement for a reasonable period or provide another appropriate remedy.
6.6 The Subscription is personal to the Customer and may not be sold, assigned, gifted or transferred without our prior written consent.
6.7 Changing address does not automatically end the Contract. The Customer must notify us promptly so that we can confirm whether the new address is serviceable.
7. Price, monthly instalments and payment authorisation
7.1 The Annual Membership Fee is £239.88, inclusive of VAT where applicable, unless a different price is expressly shown and accepted at checkout.
7.2 The Annual Membership Fee is payable in 12 Monthly Instalments of £19.99.
7.3 The first Monthly Instalment is normally charged on or shortly after the Subscription Start Date. Each subsequent Monthly Instalment is normally charged on or around the corresponding date in the following month.
7.4 By subscribing, the Customer authorises BlackBike and Stripe, acting as payment processor, to charge the selected payment method for each Monthly Instalment and any other amount separately authorised by the Customer.
7.5 The Customer must maintain a valid payment method and keep billing and contact details current.
7.6 The Customer is responsible for checking bank or card statements and notifying us promptly of a suspected error.
7.7 We will not charge replacement parts, Additional Services or optional work without the Customer’s agreement, except for reasonable re-delivery, storage or other costs that these Terms expressly permit and which have been notified in advance where reasonably practicable.
7.8 The Customer must not make an unjustified chargeback. A chargeback does not determine the parties’ legal rights and does not by itself cancel the Contract.
7.9 If a tax rate changes or a new mandatory tax becomes applicable, we may adjust the tax element as required by law. Any other price change is governed by clause 29.
8. Initial Term and fixed-term commitment
8.1 The Initial Term is a fixed 12-month commitment.
8.2 The Customer receives the benefit of being entitled to request the Included Service during the Membership Year, subject to these Terms, whether or not the Customer chooses to use it.
8.3 After the Cooling-off Period, the Customer does not have a general contractual right to cancel the Initial Term merely because the Customer changes their mind, uses the Bicycle less than expected, sells the Bicycle, no longer wants the Subscription or fails to use the Included Service.
8.4 Payments already made are not refundable merely because the Customer stops using the Subscription or asks us to cancel it after the Cooling-off Period.
8.5 The fixed-term commitment does not prevent the Customer from exercising statutory rights, ending the Contract because of a serious unremedied breach by BlackBike, or requesting discretionary early release under clause 26.
8.6 We will not treat this clause as requiring payment for a service that we are unable or unwilling to provide, nor will we rely on it in a manner that applicable consumer law would regard as unfair or disproportionate.
9. Statutory cooling-off rights
9.1 Where the Contract is made online, by telephone or otherwise at a distance, the Customer will normally have 14 days after the day the Contract is entered into to cancel without giving a reason.
9.2 To exercise the right, the Customer must make a clear statement before the Cooling-off Period expires. The Customer may email info@blackbike.co.uk or use the model form in Schedule 3, but use of the model form is not compulsory.
9.3 If the Customer validly cancels before any service has begun, we will refund payments received under the Contract using the original payment method, normally within 14 days after we are informed of the cancellation.
9.4 We will not impose a cancellation fee for a valid statutory cancellation.
9.5 If the Customer asked us to begin performing services during the Cooling-off Period, clause 10 applies.
9.6 The cancellation right and refund may be affected only to the extent permitted by law. Nothing in these Terms narrows the statutory right.
9.7 If we fail to provide legally required cancellation information, the cancellation period may be extended as provided by law.
10. Requesting early performance during the cooling-off period
10.1 As a default operational rule, we do not normally collect the Bicycle or begin the Included Service until the Cooling-off Period has expired.
10.2 The Customer may ask us to begin earlier. We are not obliged to agree.
10.3 An early request must be express and may be made using Schedule 5 or equivalent wording accepted by us.
10.4 If the Customer requests early performance and then cancels during the Cooling-off Period, the Customer may be required to pay a proportionate amount for services actually supplied up to cancellation, to the extent permitted by law and provided the required information and consent were obtained.
10.5 The proportionate amount will reflect the service actually performed, collection or delivery already completed, and other direct value supplied. It will not be used as a penalty.
10.6 Where applicable law provides that the cancellation right is lost after a service has been fully performed following the Customer’s express request and acknowledgement, we will rely on that rule only where all legal conditions have been met.
11. What the Subscription includes
11.1 Subject to these Terms, each Membership Year includes:
(a) one collection of the Registered Bicycle from one eligible Collection Address;
(b) one Standard Maintenance Service described in Schedule 1; and
(c) one return delivery of the Registered Bicycle to one eligible Return Address.
11.2 The Collection Address and Return Address may be different, provided both are confirmed by us and are serviceable.
11.3 The Subscription does not provide unlimited repairs, on-demand roadside assistance, emergency recovery, a replacement bicycle, insurance, a guarantee against future breakdown or unlimited collection and delivery.
11.4 The Subscription covers the labour and routine adjustments expressly included in Schedule 1. Replacement parts, consumables beyond ordinary workshop lubricants, specialist procedures and Additional Services are charged separately.
11.5 The Customer is not entitled to exchange unused benefits for another BlackBike product, store credit or cash.
12. Service scope and standard of performance
12.1 We will perform the Maintenance Service with reasonable care and skill.
12.2 The Maintenance Service is a routine inspection, maintenance and adjustment service. It is not a full strip-down, restoration, structural engineering assessment or comprehensive guarantee of every component.
12.3 The scope is limited to components that are reasonably accessible without specialist dismantling, unless additional work is agreed.
12.4 We may use reasonable professional judgment in selecting methods, tools, lubricants, adjustment tolerances and test procedures.
12.5 Where a manufacturer’s specification is reasonably available and relevant, we will seek to act consistently with it, but older, modified, unbranded or incompatible components may require alternative reasonable methods.
12.6 We may decline an adjustment where it would be unsafe, technically inappropriate, likely to damage the Bicycle or impossible because of wear, corrosion, incompatibility or missing parts.
12.7 We may perform a short controlled test ride or stationary functional test where reasonably necessary and safe. Clause 19 applies.
12.8 If the Maintenance Service is not performed with reasonable care and skill, the Customer may have rights to repeat performance, a price reduction or other remedies under consumer law.
13. Items and work not included
13.1 Unless expressly included in a written quotation, the Subscription does not include:
(a) replacement parts, components, tyres, tubes, brake pads, cables, chains, cassettes, bearings, grips, saddles, pedals, batteries or accessories;
(b) hydraulic brake bleeding, hydraulic hose replacement or specialist brake-system overhaul;
(c) suspension fork, shock, dropper-post or damper servicing, rebuilding or seal replacement;
(d) wheel building, rim replacement, extensive wheel truing or replacement of multiple spokes;
(e) bottom-bracket, headset, hub or bearing overhaul requiring significant dismantling;
(f) motor, controller, display, sensor, wiring, battery, firmware or proprietary electrical-system diagnostics for electric bicycles;
(g) carbon-fibre inspection, non-destructive testing, frame alignment, frame repair, welding, brazing or structural repair;
(h) paintwork, cosmetic restoration, rust removal, deep cleaning, decontamination or valeting;
(i) recovery following an accident, collision, flood, fire, theft attempt, misuse, racing incident or deliberate damage;
(j) manufacturer recall work or warranty administration unless separately agreed;
(k) assembly of a bicycle supplied in parts or major rebuilding after customer disassembly;
(l) work on unlawful, counterfeit, recalled, dangerously modified or incompatible components;
(m) transport of loose personal property, child seats, panniers, luggage, tools, pumps, electronics, bottles or other removable items; or
(n) any work not expressly listed in Schedule 1.
13.2 This list is not intended to reduce any obligation we expressly accept in writing or any mandatory legal duty.
14. Replacement parts and additional work
14.1 If inspection identifies worn, damaged, unsafe or missing parts, we will normally contact the Customer with an estimate or quotation before carrying out chargeable work.
14.2 A quotation may include parts, labour, taxes, specialist subcontractor charges and any additional transport reasonably required.
14.3 The Customer may accept or decline the quotation. Acceptance may be recorded by email, payment link, customer portal, telephone confirmation that we document, or another agreed method.
14.4 If the Customer declines recommended work, we may complete only the safe elements of the Included Service or return the Bicycle without carrying out the declined work.
14.5 Where a fault makes the Bicycle unsafe, we may attach a warning, record the issue in the service report, disable an unsafe feature where reasonably necessary to avoid immediate danger, or decline to return the Bicycle in a ride-ready condition. We will not retain the Bicycle indefinitely merely because work is declined.
14.6 If the Customer supplies their own part, we may refuse to fit it if unsuitable. Where we agree to fit a customer-supplied part, we are responsible for the fitting service but do not provide a warranty for the quality, compatibility or durability of the supplied part.
14.7 Any manufacturer warranty on a new part is subject to the manufacturer’s terms in addition to the Customer’s statutory rights against us where applicable.
14.8 If hidden damage becomes apparent after approved work begins, we may pause and request further approval.
14.9 We will not charge for corrective work required solely because we failed to perform the original service with reasonable care and skill.
15. Additional care and additional services
15.1 Only one Included Service may be used in each Membership Year.
15.2 If the Customer requests a second or further collection, maintenance and return package during the same Membership Year, that request is an Additional Service.
15.3 Each Additional Service is charged at the then-current full Annual Membership Fee. At the date of these Terms, the charge is £239.88, inclusive of VAT where applicable.
15.4 The Additional Service charge is payable in advance and is separate from the Monthly Instalments due under the existing Subscription.
15.5 Replacement parts, specialist work and exclusions remain separately chargeable for an Additional Service.
15.6 Payment for an Additional Service does not extend, replace, reset or cancel the current Membership Year unless we expressly agree otherwise in writing.
15.7 The Customer is free to obtain additional maintenance elsewhere. Using another repairer does not cancel the Subscription, but BlackBike is not responsible for that repairer’s work.
15.8 This clause does not apply where additional work is reasonably necessary to correct defective performance by BlackBike or where consumer law requires a remedy without additional charge.
16. Booking the included service
16.1 The Customer must contact us to request the Included Service. A Subscription does not create an automatic collection date.
16.2 The Customer must provide the subscription email address, Bicycle details, preferred Collection Address, preferred Return Address and reasonable availability information.
16.3 We may require photographs or further details before accepting a booking.
16.4 A booking is confirmed only when we issue written confirmation of the collection arrangement.
16.5 Collection dates, workshop times and return dates are subject to availability. Any date given before confirmation is an estimate.
16.6 The Customer should request the service at least 30 days before the end of the Membership Year. A request made later may not leave enough time for collection and completion before expiry.
16.7 If a timely valid booking is made during the Membership Year, we may complete the service after the Membership Year ends without treating the entitlement as expired.
16.8 The Customer must ensure Monthly Instalments are up to date before collection unless we agree otherwise.
16.9 We may offer appointment windows rather than exact times because courier routes and workshop demand can vary.
17. Collection and return delivery
17.1 The Customer may nominate any Collection Address and any Return Address within the United Kingdom that meet the requirements of this clause. The two addresses need not be the same.
17.2 An address is eligible only if it is within available courier coverage, can be safely and lawfully accessed, permits collection or delivery of a bicycle-sized item and is confirmed by us.
17.3 Standard collection and return are intended for ordinary residential or business addresses. We do not guarantee collection from a roadside, trail, railway station, airport, park, campsite, event venue, unattended public place, restricted-access building or any location where safe handover cannot be arranged.
17.4 Service in Northern Ireland, the Scottish Highlands and Islands, the Isle of Man, the Channel Islands and other remote or offshore areas may be unavailable, subject to longer lead times or subject to a reasonable surcharge disclosed before booking. For the avoidance of doubt, the Channel Islands and Isle of Man are not part of the United Kingdom but may be considered separately at our discretion.
17.5 The Customer or an authorised adult must be present where required by the courier and must comply with reasonable identification, handover and signature procedures.
17.6 Risk in the Bicycle remains with the Customer except to the extent that loss or damage is caused while the Bicycle is in our possession or control and we are legally responsible.
17.7 We may use different couriers or Service Partners for collection and return.
17.8 The Customer must tell us before booking if the Bicycle is unusually large, heavy, fragile, valuable, adapted or fitted with non-standard equipment.
17.9 A failed collection or delivery caused by incorrect details, absence, inaccessibility, refusal, unsafe conditions or failure to follow preparation instructions may result in a reasonable rebooking charge reflecting our actual or expected cost.
17.10 If a courier fails through no fault of the Customer, we will arrange a reasonable alternative without an additional standard rebooking charge.
17.11 Courier tracking and estimated windows are provided for convenience and are not guaranteed unless we expressly agree a guaranteed service.
18. Customer preparation and packaging obligations
18.1 Before collection, the Customer must follow all preparation and packaging instructions supplied by us or the courier.
18.2 We will tell the Customer whether a box, protective covering, partial disassembly or another method is required.
18.3 The Customer must remove loose or removable property unless we expressly ask for it, including panniers, baskets, child seats, lights, computers, cameras, pumps, bottles, tools, luggage and valuables.
18.4 The Customer must remove an electric-bicycle battery unless we expressly confirm that it should remain fitted and can lawfully and safely be transported.
18.5 The Customer must provide keys, lock codes, proprietary tools, wheel-security keys or other access items reasonably required to service the Bicycle.
18.6 The Customer must disclose tubeless systems, electronic shifting, internal gear hubs, hydraulic systems, unusual torque requirements and other non-obvious features.
18.7 The Bicycle must be reasonably clean and free from excessive mud, animal waste, oil contamination, needles, biological material, pests or other hazardous substances.
18.8 If the Bicycle is not safely prepared, we may refuse collection, require rebooking or charge a reasonable additional handling or cleaning cost after notifying the Customer.
18.9 We are not responsible for loss of removable property that the Customer should reasonably have removed and did not disclose, except where the loss is caused by our failure to use reasonable care.
19. Inspection, photographs, test rides and diagnostics
19.1 We or a Service Partner may photograph or video the Bicycle at collection, receipt, during service and before return for condition records, quality control, dispute resolution and operational purposes.
19.2 Images taken under clause 19.1 will not be used for public marketing without a lawful basis and, where required, the Customer’s consent.
19.3 The Customer authorises reasonable inspection, manipulation, measurement, adjustment and dismantling that falls within the Standard Maintenance Service.
19.4 The Customer authorises a short and controlled test ride where reasonably necessary to verify braking, steering, shifting or other functions, provided the mechanic considers the Bicycle safe enough to test.
19.5 We may use diagnostic equipment and manufacturer or third-party technical information where available.
19.6 A standard inspection cannot identify every latent, internal, intermittent or microscopic defect. We do not represent that the inspection is equivalent to specialist structural testing.
19.7 If we identify evidence suggesting serious structural damage, theft, tampering, unlawful modification or a manufacturer safety issue, we may stop work and contact the Customer.
20. Electric, specialist, adapted and high-value bicycles
20.1 Electric bicycles must be declared before subscription and again before booking.
20.2 The Standard Maintenance Service normally covers ordinary mechanical bicycle components only. It does not include proprietary electrical diagnosis, motor repair, controller repair, battery repair, firmware updates, software pairing or manufacturer-specific warranty work unless separately agreed.
20.3 The Customer must comply with our battery transport instructions. We may refuse to transport a damaged, swollen, leaking, recalled, modified or otherwise unsafe battery.
20.4 Cargo bicycles, tandems, tricycles, recumbents, adaptive bicycles, carbon race bicycles and other specialist bicycles require prior approval.
20.5 The Customer must declare where the Bicycle’s reasonable replacement value exceeds £2,500 or where any single fitted component is unusually valuable.
20.6 For a high-value or specialist Bicycle, we may request proof of value, impose reasonable handling conditions, require specialist transport, quote an additional charge or decline the booking.
20.7 Failure to declare material characteristics may delay the service and may make the Customer responsible for reasonable additional costs caused by the omission, but does not exclude liability that cannot lawfully be excluded.
21. Unsafe, contaminated, unlawful or unsuitable bicycles
21.1 We may refuse or stop work if the Bicycle or any part of it is, or reasonably appears to be:
(a) structurally unsafe or beyond economical routine maintenance;
(b) excessively corroded, seized, contaminated or unhygienic;
(c) fitted with incompatible, counterfeit, recalled or dangerous parts;
(d) unlawfully modified or intended for unlawful road use;
(e) suspected to be stolen or subject to a genuine ownership dispute;
(f) too large, heavy or fragile for available transport or workshop facilities; or
(g) otherwise outside the reasonable scope of the Subscription.
21.2 We will explain the reason where reasonably possible and discuss return, quotation or alternative arrangements.
21.3 If refusal is caused by information the Customer failed to disclose, the Included Service may be treated as used only to the extent fair and proportionate having regard to collection, inspection and costs actually incurred.
21.4 If refusal is due to our error or inability to provide the service as described, we will not treat the Included Service as used and will provide an appropriate remedy.
21.5 Nothing requires us or a Service Partner to perform work that would expose a person to unreasonable danger or require unlawful conduct.
22. Service completion and return of the Bicycle
22.1 We will notify the Customer when the Maintenance Service is complete or when approval is required for additional work.
22.2 Any turnaround time is an estimate unless expressly confirmed as guaranteed.
22.3 Parts availability, hidden damage, specialist work, courier capacity and customer response times may affect completion.
22.4 We may provide a service report identifying work performed, observed condition, recommendations and safety warnings.
22.5 The Customer must review any warnings and follow reasonable instructions before riding.
22.6 Return delivery will be arranged after included work is complete and any separately approved charges are paid, unless consumer law requires otherwise.
22.7 A signature, photograph, courier scan or other reasonable evidence may be used to record delivery.
22.8 The Customer must inspect the Bicycle as soon as reasonably practicable after return and notify us promptly of apparent transit damage, missing items or service concerns. Delay does not remove statutory rights but may make investigation more difficult.
23. Storage, failed return and uncollected bicycles
23.1 The Customer must cooperate in arranging return and keep contact details current.
23.2 If return fails because of the Customer’s act or omission, we may charge the reasonable cost of re-delivery.
23.3 If the Bicycle cannot be returned or collected after service because the Customer does not respond or make arrangements, we may store it for a reasonable initial period without charge.
23.4 After giving reasonable written notice, we may charge reasonable storage costs that reflect the costs incurred.
23.5 If the Bicycle remains uncollected for an extended period, we may exercise rights available under applicable law to require collection and, after all legally required notices and waiting periods, to sell or otherwise dispose of the Bicycle. Any net proceeds will be dealt with as required by law.
23.6 We will not rely on this clause to dispose of a Bicycle without reasonable efforts to contact the Customer and compliance with applicable notice requirements.
24. Customer responsibilities after service
24.1 A bicycle is subject to continuing wear, loosening, impact, weather, corrosion and damage after service.
24.2 The Customer remains responsible for reasonable pre-ride checks, including brakes, tyres, wheels, handlebars, stem, saddle, pedals, lights and visible fasteners.
24.3 The Customer must stop riding and seek advice if the Bicycle feels unsafe, develops unusual noise or movement, suffers an impact or shows a warning sign.
24.4 The Customer must follow manufacturer instructions, component limits and any service-report recommendations.
24.5 A Maintenance Service does not make an unsuitable or unlawfully modified Bicycle suitable for road use.
24.6 The Customer is responsible for deciding where, when and how to ride and for using appropriate protective equipment.
24.7 Nothing in this clause transfers responsibility for defective workmanship or removes any duty we owe under law.
25. Failed payments, suspension and recovery
25.1 If a Monthly Instalment fails, Stripe or BlackBike may retry the payment and contact the Customer.
25.2 We may suspend booking or performance of the Included Service while a payment is overdue.
25.3 We will normally provide a reasonable opportunity to update the payment method before terminating for non-payment.
25.4 Cancelling a card, closing an account, revoking a payment authority or using the Stripe portal does not by itself cancel the fixed-term Contract or remove liability for sums properly due.
25.5 We may recover reasonable and proportionate costs actually incurred in collecting an undisputed overdue debt, but we will not impose punitive or excessive charges.
25.6 We will not demand accelerated payment of future instalments in a manner that is unlawful, unfair or disproportionate.
25.7 Where the Customer disputes an amount in good faith, both parties should seek to resolve the dispute promptly. We may continue to collect undisputed amounts.
25.8 Termination for non-payment is governed by clause 28 and does not prejudice rights that accrued before termination.
26. Cancellation after the cooling-off period
26.1 After the Cooling-off Period, the Customer may give notice at any time that the Subscription must not renew at the next Renewal Date.
26.2 A notice to prevent renewal does not end the current fixed Membership Year or cancel Monthly Instalments due for that Membership Year.
26.3 Payments already made are not refundable merely because the Customer changes their mind, sells or stops using the Bicycle, moves address, uses another repairer or does not use the Included Service.
26.4 The Customer may ask us for early release from the Initial Term or a renewed fixed Membership Year. We will consider the request reasonably but are not obliged to agree where no statutory or contractual termination right exists.
26.5 We may agree early release in cases such as permanent relocation outside all available service areas, serious illness, bereavement, long-term inability to cycle, theft or total loss of the Registered Bicycle, or comparable exceptional circumstances. We may request reasonable evidence.
26.6 If we agree early release, we may charge an Early Termination Amount. That amount will:
(a) take account of the Included Service or other benefits already used;
(b) take account of reasonable direct costs and discounts that have not been recovered;
(c) deduct costs we reasonably expect to save because of early termination;
(d) not be imposed as a penalty; and
(e) never exceed the unpaid balance of the Annual Membership Fee for the current Membership Year.
26.7 Where the Included Service has already been used, the Early Termination Amount may be close to or equal to the unpaid balance if that fairly reflects the value supplied and unrecovered costs, but it will remain subject to the principles in clause 26.6.
26.8 No Early Termination Amount is payable where the Customer validly ends the Contract because of our serious breach, our inability to provide the contracted service, or another mandatory legal right.
26.9 Refunds required by law will be paid. Otherwise, Monthly Instalments already paid are non-refundable.
26.10 A cancellation request may be sent by email and, once available, through any online cancellation function provided by us. We will confirm the effective date and any amount due in writing.
27. Renewal, renewal reminders and cancellation of renewal
27.1 Unless the Customer cancels renewal before the Renewal Date, the Subscription will automatically renew for a further 12-month Membership Year at the price notified for that renewal.
27.2 Each renewed Membership Year provides one new Included Service, subject to these Terms.
27.3 We will send a reminder before a 12-month Subscription automatically renews. The reminder will identify the renewal date, price or how it will be calculated, the length of the renewed term and how to cancel renewal.
27.4 The Customer may cancel renewal through the method stated in the reminder, by email, and through an online method where required by law or made available by us.
27.5 Cancellation of renewal received before the Renewal Date takes effect at the end of the current Membership Year. It does not affect the Customer’s right to use an unused Included Service during that current Membership Year, subject to booking deadlines.
27.6 Where applicable law provides a renewal cooling-off period, the Customer may cancel within that period and receive the refund required by law.
27.7 If the Customer expressly requests and receives services during a renewal cooling-off period, we may make a lawful proportionate deduction or charge to reflect services supplied.
27.8 We may choose not to renew by giving reasonable notice before the Renewal Date.
27.9 If a price change applies on renewal, clause 29 applies.
28. Termination or suspension by BlackBike
28.1 We may suspend or terminate the Contract if the Customer:
(a) fails to pay an amount when due and does not remedy the failure within a reasonable period after notice;
(b) provides materially false or misleading information;
(c) attempts to use the Subscription for multiple bicycles or commercial purposes;
(d) acts fraudulently or abuses a payment, booking, refund or courier process;
(e) threatens, harasses or abuses staff, couriers or Service Partners;
(f) presents a serious safety risk; or
(g) commits another serious breach of the Contract.
28.2 Where a breach can reasonably be remedied, we will normally give the Customer a reasonable opportunity to do so before termination.
28.3 We may terminate immediately where necessary for safety, fraud prevention, illegality or protection of staff and Service Partners.
28.4 If we terminate because of our own inability to provide the Subscription, we will refund the appropriate amount for services and benefits not supplied, taking account of applicable law.
28.5 If we terminate because of the Customer’s serious breach, amounts already due remain payable. Any claim for future loss will be limited to a fair and lawful amount reflecting actual loss and costs saved.
28.6 Termination does not affect rights and liabilities that accrued before termination.
29. Changes to the Subscription, price or Terms
29.1 We may update these Terms for new customers at any time.
29.2 We may make a minor or administrative change during a Membership Year where it does not materially disadvantage the Customer, for example to correct wording, update contact details, improve clarity or reflect a change of Service Partner.
29.3 We may make a change required by law, regulation, court order, insurer, safety requirement or payment-network rule. We will give notice where the change materially affects the Customer.
29.4 We will not materially reduce the Included Service or increase the agreed Annual Membership Fee during the current Membership Year without the Customer’s express agreement, except where a mandatory tax change applies.
29.5 A price or material service change for a future Membership Year will be notified before renewal.
29.6 If a proposed change gives the Customer a statutory right to cancel, we will respect that right.
29.7 Continued use alone will not be treated as acceptance of a material change where applicable law requires express consent.
30. Our responsibility to the Customer
30.1 We are responsible for foreseeable loss or damage caused by our breach of the Contract or failure to use reasonable care and skill.
30.2 Loss or damage is foreseeable if it was an obvious consequence of the breach or was contemplated by both parties when the Contract was formed.
30.3 Because the Subscription is for consumers, we are not responsible for business losses, loss of profit, loss of revenue, loss of contracts, loss of commercial opportunity or business interruption.
30.4 We are not responsible for:
(a) pre-existing damage or wear not caused by us;
(b) latent or intermittent defects that a reasonable Standard Maintenance Service would not identify;
(c) ordinary wear, corrosion or damage occurring after the Bicycle is returned;
(d) damage caused by accidents, misuse, neglect, racing, overloading, unlawful modification or work by another person;
(e) loss of removable property the Customer was instructed to remove, except where caused by our failure to use reasonable care; or
(f) delay or failure caused by an event outside our reasonable control, subject to clause 31.
30.5 If we or a Service Partner damages the Bicycle while it is under our responsibility, we may, where appropriate, repair the damage, replace the affected item, or pay reasonable compensation in accordance with applicable law.
30.6 Any assessment of physical loss will take account of the Bicycle’s age, condition, market value immediately before the loss and reasonable repair options. Sentimental or special personal value is not normally recoverable unless specifically agreed.
30.7 Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, breach of rights that cannot lawfully be excluded, or any other liability that law prohibits us from excluding or limiting.
30.8 Nothing in these Terms affects the Customer’s rights under the Consumer Rights Act 2015 or other applicable consumer legislation.
31. Events outside our reasonable control
31.1 We are not responsible for delay or failure caused by an event outside our reasonable control.
31.2 Such events may include severe weather, flood, fire, epidemic, public emergency, industrial action, transport disruption, courier network failure, road closure, power or communications failure, import disruption, shortage of parts, governmental action or failure of a third-party system despite reasonable precautions.
31.3 We will contact the Customer as soon as reasonably practicable, take reasonable steps to reduce the effect and resume performance when possible.
31.4 If the event causes a substantial delay or makes the Included Service impossible, the Customer may be entitled to end the affected service or Contract and receive an appropriate refund for the part not supplied.
31.5 The Customer is not required to pay an additional standard rebooking fee where failure was solely due to such an event and not the Customer’s act or omission.
32. Complaints and dispute resolution
32.1 The Customer should contact us promptly if dissatisfied or if there is a problem with the Bicycle after service.
32.2 Complaints may be sent to info@blackbike.co.uk. The Customer should provide the subscription email address, Bicycle details, relevant dates, photographs where useful and the outcome sought.
32.3 We will acknowledge and investigate complaints within a reasonable time.
32.4 The Customer should give us a reasonable opportunity to inspect and, where appropriate, repeat or correct the service.
32.5 Nothing requires the Customer to accept an internal remedy instead of a statutory right.
32.6 Where we are required to provide information about an approved alternative dispute resolution entity, we will do so. Unless the law requires otherwise or we expressly agree, we are not automatically obliged to participate in a particular ADR procedure.
32.7 The Customer may also seek advice from Citizens Advice, Trading Standards or another appropriate consumer body.
33. Personal data and communications
33.1 We process personal data in accordance with our Privacy Policy and applicable data-protection law.
33.2 We may share information reasonably necessary to perform the Contract with Stripe, couriers, workshops, mechanics, insurers, IT providers and other Service Partners.
33.3 Payment card information is processed by Stripe or another payment processor. We do not ordinarily receive or store the complete card number.
33.4 We may contact the Customer about payments, bookings, safety issues, service updates, renewal reminders, cancellation and other matters necessary to administer the Contract.
33.5 Service communications are not marketing and may be sent even if the Customer has opted out of promotional messages.
33.6 The Customer must ensure that email, telephone and address details remain current and should check spam or junk folders for service communications.
34. General contractual provisions
34.1 Subcontracting. We may appoint Service Partners to perform parts of the Contract. We remain responsible for performance of our obligations to the extent required by law.
34.2 Assignment by us. We may transfer the Contract to another organisation in connection with a sale, restructuring or transfer of the BlackBike business, provided the transfer does not reduce the Customer’s rights. We will notify the Customer where required.
34.3 Assignment by the Customer. The Customer may not transfer the Contract without our prior written consent.
34.4 Entire agreement. The Contract constitutes the agreement between the parties concerning the Subscription, but does not exclude statements or information that applicable law treats as binding.
34.5 No waiver. Delay or failure to enforce a right does not waive that right.
34.6 Severability. If a provision is unlawful or unenforceable, it will be removed or limited to the minimum extent necessary, and the remaining provisions will continue to apply.
34.7 Third-party rights. Except where expressly stated or provided by law, no person other than BlackBike and the Customer has a right to enforce the Contract under the Contracts (Rights of Third Parties) Act 1999.
34.8 Notices. Notices may be sent to the latest email or postal address supplied by the other party. Cancellation notices from the Customer may be sent to info@blackbike.co.uk.
34.9 Language. The Contract is made in English. Any translation is provided for convenience, and the English version will apply to the extent permitted by law.
34.10 Survival. Provisions concerning payment, liability, complaints, data, governing law and any other provision intended by its nature to continue will survive termination.
35. Governing law and jurisdiction
35.1 The Contract is governed by the law of England and Wales.
35.2 The courts of England and Wales have jurisdiction, except that a consumer resident in Scotland or Northern Ireland may bring proceedings in the courts of the part of the United Kingdom in which they live and retains any mandatory protection available under applicable local law.
35.3 Nothing in this clause deprives the Customer of mandatory rights under the law of the country or part of the United Kingdom in which the Customer habitually resides.
SCHEDULE 1 – STANDARD MAINTENANCE SERVICE SPECIFICATION
1. Purpose and nature of the service
1.1 The Standard Maintenance Service is a routine annual bicycle maintenance and safety service intended to inspect key accessible areas, perform ordinary adjustments where reasonably possible and identify visible maintenance needs.
1.2 The service is not a guarantee that every defect will be discovered or that the Bicycle will remain fault-free after return.
2. Included checks and routine work
2.1 Subject to component condition, accessibility and compatibility, the service includes the following:

3. Service report and recommendations
3.1 We may provide a written or electronic record of work performed, issues identified and recommendations.
3.2 A recommendation is not a representation that no other defect exists.
3.3 Urgent safety recommendations should be followed before the Bicycle is ridden.
4. Exclusions
4.1 The exclusions in clauses 13, 20 and 21 apply to this Schedule.
4.2 Any additional or specialist work requires a separate quotation and Customer approval.
